Repowering- Swapping an old Yanmar for a Lister.

Hi,
For the life of me I know very little yet about motors as yet ,but suspect I will learn much about them in the coming years-the good,the bad and the downright ugly.
The 40 ft steel motor sailer I am in the process of rebuilding had an old Yanmar 2SE ( or 2SME maybe ) 2 cyl diesel- 18 hp approx) motor with gearbox, taken out but last known to work and it cranks over yet I have not had it fire up.Not electric start -hand cranked so must be -OLD.
Have been offered a 3 cyl 40 hp HRW3 Lister diesel,water cooled,with all the bells and whistles,heat exchanger and (2) gearboxes, electric start etc for $4,000:00.

Does anyone know what the approx $ value would be of the Lister motor and gearbox in v.g.condition.Would like to know if this offer represents fair value ,but feel it is OK ?
Also,
Should I try and sell the old Yanmar ( even for spare parts ) and if so what would be a fair price ,cleaned up and presented well.?

Or, Should I perhaps donate it to a local technical college for kids to learn on ?

Appreciate your advice.
