Partnership Contracts
Hi All,
Back with another question.
Does anyone have any ideas about where to find a good, workable, fair, and understandable sail boat partnership agreement.
I would need it to cover the usual stuff like, how to split purchase price, maintenance, insurance, dockage fees, buy out on termination, arbitration, damage, useage time, boat upgrades, etc.

The only one that I have is the one that was sent to me by excalif.
My hopefull partner withdrew from our arrangement before I could get to contact stage. (I guess that happens a lot - "cold feet" of maybe better sense.)

Would you mind sending me a copy of your agreement as well? I'm in the process of buying a boat with a partner, we have general terms written up, and we just need to get it into a more formal agreement and signed off. Your help would be greatly appreciated.

Just remember that at common law, partners are jointly and severally liable for the obligations of the partnership. So if your partner runs up a huge bill at the boatyard and doesn't pay, they can come after you, and they can go after your personal assets if the value of the boat is insufficient to cover the liability. Partners also owe a fiduciary duty to one another: you must preserve and protect the partnership assets and you can be sued by your partner if you don't.
Under the U.S. Uniform Partnershp Act you can form a "limited liability partnership" where the liability of each partner is limited (but not as limited as in a corporation or LLC.) There are also limited liability partnerships in the U.K. but they operate differently.
If I were going to own and/or operate a boat with someone else who was not my spouse, I would put the title to the boat into a limited liability company (commonly known as an LLC) and would spell out the ownership shares and duties/responsibilities of the members in the operating agreement. I would not use anything resembling a partnership.

My best friend of 20 years was a partner with me in a boat. We now have not spoken in nearly 5 years and he still owes me money. I will NEVER have a partner in a boat again!

Hi Dan, Just joined the site and saw your old post regarding partnership agreement. My wife and I used to say the same, "never share our home on the water with anyone".
But lately we have started to re-think that statement. We have just bought a nice home mainly to use when we cannot sail anymore due to lack of fitness, interest or whatever.
Maybe a co-owner or two could free us from the boat at times to spend more time on land and with that prolong our active sailing life, instead of living on board all the time as we do now and have done for almost 5 years.
Thoughts about this please.
